OFFICIAL RULES OF THE ”ALPHA SHOP” PROGRAMME

SECTION 1. ORGANIZER AND OFFICIAL RULES OF THE PROGRAMME

The “ALPHA SHOP” programme is organized and carried out by ALPHA BANK ROMANIA SA (hereinafter referred to as the “Bank”), headquartered in Bucharest, Calea Dorobantilor, nr. 237 B, District 1, registered with the Trade Register under no. J40/28415/1993, registered with the Credit Institutions Register of the National Bank of Romania under no. RB-PJR-40-022 of 18.02.1999, sole registration code 5062063, registered under no. 601 in the register of data controllers (hereinafter referred to as the “Bank”).

By taking part in the ALPHA SHOP Programme (hereinafter referred to as the “Programme”), the participants agree to adhere to and to comply with all the provisions, terms and conditions of these Rules of the Programme (hereinafter referred to as the “Rules”) and of the applicable legislation. The Rules are supplemented by the provisions of the Contract for the issuance and utilization of Alpha Bank Romania cards.

The Rules are available free of charge to any requester, in any branch of the Bank, both upon request, during the opening hours displayed and on the website www.alphacards.ro.

SECTION 2. AREA OF IMPLEMENTATION AND DURATION OF THE PROGRAMME

During the point accumulation stage, the Programme is carried out in the locations and on the websites of all the merchants who accept the payment by Visa/MasterCard on the territory of Romania or abroad.

During the point utilization stage, the Programme is carried out in the locations of the merchants participating in the Programme (hereinafter referred to as the “Partner Merchants”). The list of Partner Merchants is available on the website www.alphacards.ro.

The programme has an indefinite duration. The Bank reserves the right to decide on the termination of the Programme at any time, the decision being communicated at least 30 days before the termination date, and the announcement will be posted on the website www.alphacards.ro.

SECTION 3. CONDITIONS OF PARTICIPATION

The holders of the cards participating in the Programme (such as they are defined in the paragraph below), natural persons (hereinafter referred to as the “Clients”) are automatically registered in the Programme under the terms set forth in these Rules to the extent that they have not expressed their refusal to be included in the programmes/loyalty campaigns organized by the Bank for the card holders.

On the date of entry into force of these Rules, the cards participating in the Programme (hereinafter referred to as the “Participating Cards”) are all the cards with a debit function and the cards with a credit function issued by Alpha Bank Romania for natural persons.

The Visa Gold credit cards in EUR do not participate in the Programme.

SECTION 4: MECHANISM OF THE PROGRAMME

The “ALPHA SHOP” programme consists of accumulation of reward points (hereinafter referred to as the “Points”) when transactions with the Participating Cards are carried out. The points thus earned may be subsequently used in the Partner Merchants’ locations. The accumulated points will be collected in a common account of points for all the Participating Cards held by the Client, including the additional cards.

4.1 ACCUMULATION OF ALPHA SHOP REWARD POINTS

The Clients receive Points for all the transactions made with a Participating Card as follows:

–       1 Point for each 1 Leu spent with a credit card at any merchant who does not participate in the Programme, in the country or abroad, including for transactions made on the internet and for all the transactions made on the internet on the Partner Merchants’ websites;

–       2 Points for each 1 Leu spent with a credit card at the Partner Merchants;

–       1 Point for each 1 Leu spent with a debit card at the Partner Merchants

–       1 Point for each 1 Leu spent with a debit card at any merchant in the supermarket category in Romania;

the supermarket-type merchants will be identified by the Bank according to code MCC 5411 assigned to this category in the list of card organizations (Visa and Mastercard);

–       50 Points for the first transaction made at one of the Partner Merchants;

–       100 Points for the first transaction made with any newly issued Alpha Bank Participating Card with a debit function;

–       200 points for the first transaction made with any newly issued Alpha Bank Participating Card with a credit function;

–       Additional points earned by means of promotional offers and campaigns initiated by the Bank or by the Partner Merchants.

The Partner Merchants may offer, in addition to Points, rewards in the form of an immediate discount or for a subsequent transaction in the form of a Discount Voucher printed at the POS terminal or electronically and stored in the loyalty system.

The points are obtained at the Partners only if the Participating Card is used through a POS terminal of the Bank.

For the transactions made with an additional card, Points will be accumulated to the account of Points of the client who holds the main card. The points earned on two or several different cards of the same Client are accumulated to his/her Point Account and may be transferred to the Point Account of another Client following a request by phone via the Call Center service at one of the phone numbers 08008 25742/ 021 319 9350 in the time interval mentioned in point 9.3 below.

The number of points granted by each separate merchant and the granting conditions will be established by the agreements for participation in the Programme signed between each merchant and the Bank and they are posted on the website www.alphacards.ro.

The Clients also earn Points for the transactions made at POS and divided into equal installments when making the transaction, as follows:

–       The points are granted for the entire value of the transaction in case of the transactions made at an Alpha Bank POS of the Partner Merchants;

–       The points are granted monthly for the value of the respective installment in case of other merchants

4.2 UTILIZATION OF ALPHA SHOP REWARD POINTS

The available points may only be used by means of the Point Utilization Offers (hereinafter referred to as the “Offers”), accessible only within a commercial transaction for the purchase of goods and/or services other than those subject to Offers, with a minimum value of 1 Leu, made at an Alpha Bank POS, in the Partner Merchants’ locations.

In case of the Offers which consist of a fixed discount (e.g.: 50 Lei of the total amount), the total value of the transaction must be higher than the discount subject to the respective Offer.

In case of the Offers which consist of discounts, the purchase of another asset and/or service is not necessary.

The points may be redeemed according to the mechanism described in the previous paragraph, individually, for each separate Offer. In order to benefit from several Offers, the Client must repeat the previously described process for each of them.

The offers are available in the partner stores only if the Client’s balance of points is sufficient. The offers are not cumulated with other offers/campaigns/promotions available in the Partner Merchants’ stores. The Partner Merchants reserve the right to accept or not the processing of the Offers in a transaction which also benefits from other offers/campaigns/promotions/loyalty programmes available in their stores.

The utilization offers will have a validity period and will be carried out within the limit of the available stock. The older Points will have priority for utilization. The points cannot be converted into money.

After making a transaction which also includes point redemption, the Client’s balance of points will be reduced by the number of Points related to the Redemption Offer chosen.

The points are available for utilization as follows:

–       Immediately after making the transaction for all the transactions made at an Alpha Bank POS of the Partner Merchants;

–       Upon settlement, in case of the transactions made at other merchants, of the transactions on the internet, of the transactions at an Alpha Bank POS for which, for any technical reasons, the points were not granted at the moment of the transaction or in case of other situations in which the granting of Points does not imply the utilization of a card at an Alpha Bank POS belonging to a Partner Merchant.

SECTION 5. VALIDITY OF THE REWARD POINTS

All the Points are valid for two years from the end of the quarter when they were earned. Upon expiry, in case of the end of participation in the Programme or upon closure of the card, all the Points unused will be lost and they cannot be converted into money.

In case of cancellation of the transaction made at POS for any reason, the points accumulated as a result of the respective transaction are lost.

SECTION 6. INQUIRY OF THE BALANCE OF POINTS. ALPHA SHOP STATEMENT

The Clients may inquire the balance of the Points accumulated by the following methods:

–       On the receipt printed at the POS terminals of the Partner Merchants after each transaction eligible for the Programme

–       By means of the E-statements service in case when it is active

–       By means of the Call Center service at one of the phone numbers 08008 25742/ 021 319 9350 in the time interval mentioned in point 9.3 below

–       By the ALPHA SHOP statement sent to the Client once every 3 months

The ALPHA SHOP statement will be the main method of communication of the promotion campaigns and the Points Utilization Offers to the Clients. The ALPHA SHOP statement will contain the total Points accumulated in the past 3 months, the total Points used in the past 3 months and the total balance of Points.

The ALPHA SHOP statement will be sent to the Client by e-mail to the address communicated to the Bank in the current account opening documentation.

SECTION 7. DISPUTES

Any potential disagreements occurred between the Bank and the Clients will be amicably settled. In case when this is not possible, the disputes will be settled by the Romanian competent courts of law in Bucharest.

Any complaint related to the implementation of the Programme will be made in writing within 5 days from the date when the event causing damages was known or had to be known, but no later than 1 month from the occurrence of the event.

The Bank will not be liable for the non-fulfillment by the merchants of the obligations assumed by the participation in the Programme. The Client understands that, in such situation, he/she will address any complaint/request to the respective merchant, exempting the Bank from any liability.

The law applicable to the Programme is the Romanian law.

SECTION 8. PERSONAL DATA PROTECTION

8.1  By participating in the Campaign, the Participants give their express and unequivocal consent that the Bank processes the personal data according to the applicable legal provisions (Law 677/2001 on the protection of individuals with regard to the processing of personal data and the free movement of such data by 25 May 2018 and the EU Regulation 2016/679 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data since 25 May 2018), the Participants’ personal data in order to process the respective data for carrying out this campaign.

8.2  The participants in the Campaign, as data subjects, according to Law no. 677/2001, have the following rights: the right to information (art.12), the right of access to data (art.13), the right of rectification (art.14), the right to object (art. 15), the right not to be subject to an individual decision (art. 17) and the right to go to court (art. 18).

8.3 Your rights from the EU Regulation 2016/679 on the protection of natural persons with regard to personal data processing and on the free movement of such data and other relevant information about the data processing by Alpha Bank Romania starting from 25 May 2018 will be provided to you on the website www.alphabank.ro and in any branch of Alpha Bank Romania.

SECTION 9. OTHER PROVISIONS OF THE RULES

9.1.    The Bank reserves the right to amend the Rules. Any amendment occurred during the implementation of the Programme will become effective only after posting it on the website www.alphacards.ro.

9.2.    The Bank reserves the right to suspend and/or to cancel the Client’s possibility to earn Points and/or to use the Points already accumulated to the respective Client’s account and/or to cancel all the Points accumulated, without other indemnities or payments in case:

(i)  of non-fulfillment by the Client of the obligations associated with the ALPHA SHOP card/cards held, according to the contract/contracts for the issuance of these cards;

(ii) when the Client is suspect of fraudulent or non-compliant activities related to the participation in the Programme;

(iii) the Client does not fulfill any other obligations assumed towards the Bank under any other contract concluded with it.

9.3.    The Clients may request information about the ALPHA SHOP Programme in any Alpha Bank branch or via call center at the phone numbers 08008 25742/ 021 319 935 in the time interval 09:00 – 17:00, from Monday to Friday, except for legal holidays.

9.4.    In case when the implementation of the Programme is prevented by events of force majeure or due to reasons independent of the Bank’s will, the latter reserves the right to decide, as the case may be, on the termination or extension of the Programme. In such case, the Bank no longer has any obligation towards the Participants with regards to the payment of an amount of money as indemnification or the like. The announcement related to the termination of the programme before the deadline will be posted on the website www.alphacards.ro.

SECTION 10. TAXES AND DUTIES

The Bank undertakes to calculate, to withhold and to pay the tax owed on the revenues obtained by the card holders according to Law no. 571/2003, with subsequent amendments and supplements.

Any other tax liabilities or obligations of any other kind in relation thereof shall be the exclusive responsibility of the Client.

ADDENDUM no. 1 to

The Organizer of the Alpha Shop” Programme is Alpha Bank Romania S.A., headquartered in Bucharest, Calea Dorobantilor nr.

237B, district 1, registered under Sole Identification Number 5062063, tax attribute RO, registered under no. 601 in the register of data controllers (hereinafter referred to as the “Bank” or the “Organizer”), which has agreed to review and supplement the Official Rules of the “Alpha Shop” Programme as follows:

The SECTION “4: MECHANISM OF THE PROGRAMME” will have the following content:

4.1 ACCUMULATION OF ALPHA SHOP REWARD POINTS

The Clients receive Points for the transactions made with a Participating Card as follows:

–       1 Point for each 1 Leu spent with a debit card at any merchant in the supermarket category in Romania and abroad; the merchants will be identified by the Bank according to code MCC 5411 assigned to this category in the list of card organizations (Visa and Mastercard);

The Clients also earn Points for the transactions made at POS and divided into equal installments when making the transaction, as follows:

–       for the transactions in installments at other merchants, the Points calculated on the value of the transaction will be initially granted, and subsequently if the posting of the transaction in installments is requested, the Points will be cancelled and the value of the Points for the amount of the respective transaction will be granted monthly.

The maximum number of Points which may be accumulated with a Participating Card cannot exceed 20,000 Points/month.”

The other provisions of the Rules remain valid.

ADDENDUM no. 2 to
